The agreement between your family and TaiBoli.
These Terms set out what TaiBoli is, how subscriptions and billing work, and the rights and responsibilities that come with using the Service. They are written for the parent or guardian who sets up and manages a child's account.
1. Who these Terms are between, and who can agree to them
These Terms of Service ("Terms") are a binding agreement between you, an adult parent, legal guardian, or other caregiver ("you", "Guardian"), and Panya Labs Pvt Ltd, a company incorporated in India ("Panya Labs", "we", "us", "our").
TaiBoli ("TaiBoli", the "Service") is a brand operated by Panya Labs on its Panya learning platform, available at www.taiboli.ai and through our mobile and other applications. These Terms govern your use of the TaiBoli service only. Other brands or services that Panya Labs may operate on the Panya platform are governed by their own separate terms.
The Service is designed for children aged 6 to 12 ("Child") who learn a heritage language under the management of a Guardian. A Child may not create an account or agree to these Terms. Only a Guardian who is at least 18 years old (or the age of majority in their jurisdiction) and legally able to enter a contract may register, accept these Terms, and consent on the Child's behalf.
By creating an account, subscribing, or using the Service, you confirm that:
- you are the Child's parent or legal guardian, or are otherwise legally authorised to consent to the Child's use of the Service and to the collection of the Child's information;
- you accept these Terms and our Privacy Policy; and
- the information you provide about yourself and the Child is accurate.
If you do not agree to these Terms, do not use the Service.
2. What TaiBoli is
TaiBoli is a paid subscription service that teaches children a heritage language through one-to-one sessions with an AI-powered avatar tutor. Its first offering teaches Hindi to children of the South Asian diaspora. The base product teaches Listening, Speaking, and Reading. A paid Certification Track add-on adds Writing.
You should understand the following about the nature of the Service:
- The avatar is software, not a human. Each avatar is an AI character. It is not a teacher, therapist, counsellor, babysitter, or supervisor, and it is not a substitute for human care or instruction.
- The avatar is for language learning only. It is designed to teach a heritage language and will decline to help with homework, act as an emotional-support figure, or perform any role outside language instruction.
- Sessions are voice-based. During a session, the avatar can hear the Child through the device microphone. The Child's video, where used, stays on the device and is not transmitted to us. (See the Privacy Policy for full detail on data handling.)
- The Service is not a guarantee of results. TaiBoli is a learning tool. We do not promise any particular learning outcome, level of fluency, certification, or progress.
3. Accounts and your responsibilities
To use the Service you must create a Guardian account and keep your account information accurate and current. You are responsible for:
- maintaining the confidentiality of your account credentials and not sharing them with anyone;
- all activity that occurs under your account;
- providing accurate information about the Child, including the Child's true age (the Service is designed for ages 6–12, and accurate age data is required for both the curriculum and our legal compliance);
- supervising the Child's use of the Service as appropriate for the Child's age, and ensuring the Child uses the Service in a safe environment; and
- being present for the Child's first session.
You agree to notify us promptly at support@taiboli.ai if you believe your account has been accessed without authorisation.
One subscription covers one Child. Each additional Child requires a separate subscription.
4. Subscriptions, billing, and changes
4.1 Subscription plans
The base Service is offered in three variants — 3, 4, or 5 sessions per week. All variants deliver the same curriculum; a higher frequency means faster progression. Sessions are approximately 20 minutes each. The Service is billed monthly at $29.99 (3 sessions/week), $39.99 (4 sessions/week), or $49.99 (5 sessions/week) per month (plus applicable taxes), shown to you before purchase.
4.2 Automatic renewal and recurring billing
Your subscription is a monthly plan that renews automatically. At the end of each one-month billing period, your subscription renews for a further month and we charge your chosen payment method the then-current monthly price (plus applicable taxes) for the next month, and we continue to do so each month until you cancel.
We present these automatic-renewal terms — that the subscription renews automatically, the recurring amount, the billing frequency, and how to cancel — clearly and conspicuously before you complete your purchase, and we obtain your express affirmative consent to them at the point of purchase. We retain a record of that consent as required by applicable law.
Cancelling. You may cancel at any time through your Guardian dashboard, using the same online method by which you subscribed and without having to take any additional or more burdensome steps. When you cancel, your subscription stops renewing; you retain access for the remainder of the billing period you have already paid for, and you are not charged again after that. Refunds, if any, are governed by Section 4.6.
Changes to price or terms. If we change your monthly price or other material subscription terms, we will give you clear and conspicuous advance notice and, where the law requires, obtain your consent before the change takes effect. If you do not accept a price change, you may cancel before it takes effect.
Residents of California, Texas, and Washington. You have specific statutory protections relating to automatic-renewal subscriptions, including the right to clear disclosure of the renewal terms and an easy means of cancellation. Nothing in these Terms limits any such non-waivable right. You may cancel at any time as described above; if you have difficulty cancelling, contact us at support@taiboli.ai.
4.3 Changing your plan
You may change your session frequency (3, 4, or 5 per week), pause, or cancel at any time through your Guardian dashboard. Changes to session frequency take effect from the Child's next lesson, and billing is adjusted on a pro-rata basis from the change date.
4.4 Certification Track add-on
The Certification Track is a paid add-on that requires an active base subscription and cannot be purchased on its own. You may subscribe to or cancel the Certification Track at any time; billing and access changes follow the same principles set out in this Section 4.
4.5 Payments and the payment processor
Payments are processed by a third-party payment provider. Panya Labs does not store your full card number or other complete payment-card details. Your use of the payment processor is subject to that provider's own terms and privacy practices.
4.6 Refunds
We offer a refund within 14 days of your initial purchase if the Service is not right for your family. Outside that window, we do not provide refunds for partial billing periods. Nothing in this Section limits any non-waivable statutory refund, cancellation, or withdrawal right you may have under the consumer-protection law of your jurisdiction.
4.7 Taxes
Prices are exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes, which we may add where required.
5. Service availability and technical issues
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service may be unavailable from time to time for maintenance, updates, or reasons outside our control.
If a technical problem on our side prevents sessions from running, your subscription credits for the affected sessions are preserved — you are not charged for sessions we are unable to deliver because of our fault. A session that is interrupted by a network disconnection and resumed shortly afterward does not consume an additional session.
6. The Child's data and privacy
The Service collects the Child's voice, conversation, and learning data in order to function. Our handling of this data — what we collect, why, who processes it, how long we keep it, and the rights you can exercise — is described in full in our Privacy Policy, which forms part of these Terms.
In summary, and without limiting the Privacy Policy:
- We never sell the Child's personal information and never use it for advertising.
- We collect the Child's information only with your verifiable consent, obtained during onboarding, as required by applicable children's-data law — including the U.S. Children's Online Privacy Protection Act (COPPA) and India's Digital Personal Data Protection Act, 2023 (DPDP), and any other children's-data law applicable in the markets we serve.
- You can review, export, or delete the Child's data, and change your consent choices, at any time through your dashboard or by contacting privacy@taiboli.ai.
Where these Terms and the Privacy Policy address the same subject, the Privacy Policy governs questions of data handling.
7. Content and intellectual property
7.1 Our content
All curriculum, avatar characters, software, text, graphics, audio, and other materials that make up the Service ("Service Content") are owned by Panya Labs or our licensors and are protected by intellectual-property laws. The avatar may reference third-party videos (for example, from a human-curated, age-appropriate list on third-party platforms such as YouTube); those videos remain the property of their respective owners and are subject to the hosting platform's terms.
7.2 Your licence to use the Service
Subject to these Terms and your active subscription, we grant you and the Child a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Service for the Child's personal, non-commercial language learning. You may not copy, modify, distribute, sell, reverse-engineer, or create derivative works from any part of the Service except as permitted by law.
7.3 Output of sessions
Materials generated for or during the Child's sessions (such as progress data and any saved audio highlights) are made available to you through your dashboard for your personal, family use, subject to the Privacy Policy.
8. Acceptable use
You agree that you and the Child will not:
- use the Service for anything other than the Child's personal language learning;
- attempt to manipulate, jailbreak, or extract the underlying prompts or models of the avatar, or use the Service to generate content unrelated to language learning;
- share account credentials, or allow more than one Child to use a single subscription;
- interfere with, disrupt, or attempt to gain unauthorised access to the Service or its infrastructure;
- use the Service in violation of any applicable law; or
- upload or transmit unlawful, harmful, or infringing content.
We may suspend or terminate access for conduct that breaches this Section.
9. Reporting concerns
If you have a concern about any content, avatar behaviour, or safety matter, contact us at support@taiboli.ai. We take content and child-safety concerns seriously and will investigate reports.
10. Suspension and termination
10.1 By you
You may cancel your subscription at any time through your dashboard. Cancellation stops future renewals and new sessions; the handling of the Child's data after cancellation is described in the Privacy Policy (in summary, data is deleted after the period stated there, or immediately on request).
10.2 By us
We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that creates legal or safety risk. Where reasonable and lawful, we will give you notice and an opportunity to resolve the issue first.
10.3 Effect of termination
On termination, your right to use the Service ends. Sections that by their nature should survive — including intellectual property, disclaimers, limitation of liability, and dispute resolution — survive termination.
11. Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your expectations, be uninterrupted or error-free, or produce any particular learning result. These disclaimers apply only to the extent the law permits, and do not affect any mandatory consumer guarantees that cannot be disclaimed.
12. Limitation of liability
To the fullest extent permitted by law:
- Panya Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, goodwill, or anticipated learning outcomes, arising out of or relating to the Service.
- Our total aggregate liability arising out of or relating to the Service and these Terms will not exceed the greater of the amount you paid us in the 12 months before the event giving rise to the claim or $100.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law (for example, liability for death or personal injury caused by negligence, fraud, or any other non-excludable liability under the applicable jurisdiction).
13. Indemnity
You agree to indemnify and hold Panya Labs harmless from claims, losses, and reasonable expenses arising out of your breach of these Terms or your or the Child's misuse of the Service, except to the extent caused by us.
14. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will notify you (for example, by email or in-app) before the change takes effect, and — where required — ask you to accept the updated Terms before continuing to use the Service. Material changes that affect how the Child's data is collected or used may also require renewed consent, as described in the Privacy Policy. Your continued use of the Service after an update takes effect means you accept the updated Terms, subject to any consent requirements.
15. Governing law and dispute resolution
These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to any non-waivable right you have to bring proceedings in your country of residence, the parties will attempt to resolve any dispute amicably, and failing that, the dispute will be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated in Mumbai, India, before a sole arbitrator, in English.
16. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Panya Labs regarding the Service.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets, on notice to you.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
